These Terms of Service ("Terms") govern your access to and use of https://getofferagent.com, any pages, forms, uploads, video-submission features, and related website functionality operated by OfferAgent LLC ("OfferAgent," "we," "us," or "our") (collectively, the "Site"). By accessing or using the Site, submitting an application, uploading materials, or recording a video submission, you agree to these Terms. If you do not agree, do not use the Site.
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site. The Site and OfferAgent's services are intended for individuals located in the United States.
OfferAgent provides job-search support and related career-search services for professionals. The Site allows prospective clients to learn about OfferAgent, submit an application for representation, upload a resume or CV, and submit a short video introduction.
Submitting an application does not create a client relationship and does not guarantee acceptance into an OfferAgent program. A client relationship begins only when OfferAgent accepts an applicant and the parties execute a separate written Client Services Agreement.
OfferAgent is not an employer, staffing agency acting on behalf of a hiring company, or guarantor of employment. Employers and recruiters make their own hiring decisions. OfferAgent does not guarantee interviews, offers, compensation, title, timing, placement, or any other employment outcome.
Any testimonials, case studies, timelines, placement statistics, salary examples, or outcomes displayed by OfferAgent are illustrative or historical and are not promises of individual results.

You may submit information including your name, email address, phone number, resume or CV, LinkedIn profile, current employer and title, compensation information, target roles, geographic preferences, optional EEO-related information, and other career-related information.
You represent that information you submit is truthful, accurate, current, and yours to provide. You may not submit false credentials, fabricate work history, impersonate another person, upload materials you do not have the right to use, or knowingly provide misleading information.
You retain ownership of materials you submit. You grant OfferAgent a limited, non-exclusive license to host, copy, process, transmit, review, organize, and use those materials as reasonably necessary to evaluate your application, communicate with you, provide requested services if you become a client, operate and improve OfferAgent, maintain records, protect security, and comply with law.
The Site may permit you to upload resume or CV files in supported formats such as PDF or DOCX and to record or submit a short video introduction. You are responsible for ensuring that uploaded files and recordings do not contain unlawful material, malware, confidential information belonging to another person, or content that infringes another person's rights.
Video submissions are used for applicant evaluation, client onboarding, and service administration. OfferAgent will not use an applicant's video, image, voice, name, testimonial, or likeness in public marketing without that person's separate explicit permission.
OfferAgent may collect optional equal-employment-opportunity or demographic information when an application workflow calls for it or when a client chooses to provide it. This may include information such as race or ethnicity, sex or gender, disability status, and veteran status. Such information is treated as sensitive and is used only for legitimate application-support, compliance, client-directed, or recordkeeping purposes.
Unless required for a particular application and authorized by the client, OfferAgent may leave optional sensitive demographic questions unanswered. OfferAgent does not use optional EEO information to make hiring decisions on behalf of employers.
If you become a client, you may separately authorize OfferAgent to access job-board accounts, LinkedIn, or employer application portals for the limited purpose of supporting your job search. Such access is governed by your Client Services Agreement and the terms of the applicable third-party platform.
You are responsible for ensuring that you have authority to grant access. OfferAgent may refuse or discontinue any activity that it reasonably believes would violate law, a platform's terms, security requirements, or another person's rights.
You may not use the Site to:
These providers may process personal information on OfferAgent's behalf or at OfferAgent's direction in accordance with their applicable contractual terms and privacy practices. OfferAgent seeks to provide only the information reasonably necessary for the relevant function.
The Site, OfferAgent name and branding, original text, graphics, layouts, workflows, templates, forms, software, and other OfferAgent materials are owned by OfferAgent or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, OfferAgent grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful personal purposes.
You may not reproduce, sell, license, distribute, commercially exploit, or create derivative works from OfferAgent materials except with OfferAgent's written permission or as otherwise allowed by law.
OfferAgent may use artificial-intelligence and software tools to assist with research, drafting, summarization, document analysis, workflow support, application preparation, and service operations. Current technology providers may include OpenAI and Anthropic. AI-generated material may contain errors, and OfferAgent uses human review as reasonably appropriate for material client-facing work.
OfferAgent does not knowingly use AI to fabricate client qualifications. If you become a client, you are expected to review material information and promptly identify inaccuracies.
The Site and OfferAgent's operations may rely on third-party services, including Google Workspace, PandaDoc, Notion, Framer, OpenAI, Anthropic, and Airtable. The Site may also link to employers, LinkedIn, job boards, or other third-party websites and platforms.
Third parties operate under their own terms and privacy practices. OfferAgent does not control and is not responsible for the independent content, availability, security, or practices of third-party services.
By providing your contact information, you agree that OfferAgent may send you transactional and service-related communications concerning your application, appointments, onboarding, client relationship, job-search activity, support requests, agreements, and related matters.
OfferAgent does not automatically add applicants or clients to a marketing email list and does not currently use submitted contact information for unrelated marketing email campaigns.
OfferAgent's Privacy Policy explains how OfferAgent collects, uses, discloses, retains, and protects personal information. The Privacy Policy is incorporated into these Terms by reference.
OfferAgent may modify, suspend, discontinue, or restrict all or part of the Site at any time. OfferAgent does not guarantee that the Site will be uninterrupted, error-free, or available at all times.
OfferAgent may update these Terms from time to time. The updated Terms will be posted on the Site with a revised effective date. Continued use of the Site after an update constitutes acceptance to the extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. OFFERAGENT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
Information on the Site is general information and is not legal, tax, immigration, financial, medical, mental-health, or other regulated professional advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFERAGENT AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST WAGES, LOST PROFITS, LOST OPPORTUNITIES, OR REPUTATIONAL HARM; OR EMPLOYER, RECRUITER, PLATFORM, OR OTHER THIRD-PARTY CONDUCT ARISING FROM OR RELATED TO YOUR USE OF THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFERAGENT'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE, EXCLUDING LIABILITY GOVERNED BY A SEPARATE SIGNED CLIENT SERVICES AGREEMENT, WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
To the extent permitted by law, you agree to indemnify and hold harmless OfferAgent and its members, managers, employees, contractors, and affiliates from third-party claims, damages, and reasonable costs arising from your intentional misrepresentation, unlawful use of the Site, infringement through content you submit, or material violation of these Terms. This provision does not require you to indemnify OfferAgent for OfferAgent's own gross negligence, willful misconduct, or violation of law.
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles, except to the extent mandatory law provides otherwise. Any dispute arising from or relating to these Terms or the Site that is not governed by a separate signed agreement must be brought exclusively in the state courts located in Fulton County, Georgia, or the United States District Court for the Northern District of Georgia, and you consent to personal jurisdiction and venue in those courts.
Nothing in these Terms waives rights or remedies that cannot legally be waived. OfferAgent may limit or modify Site features or services in a jurisdiction where career-services, employment-agency, applicant-representation, privacy, consumer-protection, licensing, or similar requirements apply.
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining Terms will remain in effect. OfferAgent's failure to enforce any provision is not a waiver. You may not assign these Terms without OfferAgent's written consent. OfferAgent may assign these Terms in connection with a merger, financing, reorganization, sale of substantially all assets, or transfer to an affiliate.
These Terms and the Privacy Policy constitute the entire agreement concerning use of the Site. If you become an OfferAgent client, your signed Client Services Agreement and any signed addendum will govern the client relationship and will control over these Terms in the event of a conflict.
